Welcome to Gennai. These Terms of Service ("Terms") govern your use of the Gennai platform and services provided by NUVIO LAB - FZCO, operating as Gennai ("we", "us", or "our"), accessible from https://www.gennai.io. By accessing or using our service, you agree to be bound by these Terms.

1. Service Description

Gennai is an AI-powered invoice management platform that allows users to:

  • Connect their Gmail or Outlook accounts to automatically detect and extract invoices from emails
  • Send invoices via WhatsApp for automatic processing and extraction
  • Use artificial intelligence to read and extract data from PDF invoices
  • Organize invoices in a centralized dashboard with analytics
  • Automatically backup and organize invoices in Google Drive
  • Export invoices to accounting platforms such as QuickBooks Online, Xero, and Holded
  • Share invoice access with accountants or team members

By subscribing to our service, you authorize us to access your connected accounts (Gmail, Google Drive, QuickBooks Online, Xero, or other integrated services) for these purposes.

2. Account Registration

To use Gennai, you must:

  • Create an account using a valid email address or Google authentication
  • Provide accurate and complete information
  • Be at least 18 years old or have legal capacity to enter into these Terms
  • Maintain the security of your account credentials

You are responsible for all activities that occur under your account.

3. Subscriptions and Payments

Gennai offers various subscription plans:

  • Free Plan: Limited features with basic invoice extraction
  • Paid Plans: Enhanced features, higher limits, and priority support

Payment terms:

  • Subscriptions are billed monthly or annually, depending on your chosen plan
  • Payments are processed securely through Stripe
  • Subscriptions automatically renew unless cancelled before the renewal date
  • You may cancel your subscription at any time through your account settings

4. Refund and Cancellation Policy

4.1 No-Refund Policy

All fees are non-refundable. Gennai offers a generous Free plan (10 invoices per month, no credit card required) that allows you to fully evaluate the platform before committing to a paid subscription. By upgrading to a paid plan, you acknowledge that you have had the opportunity to test the service and are satisfied with its functionality.

This no-refund policy applies to all subscription payments (monthly and annual), subscription renewals, and credit pack purchases.

4.2 Cancellation

You may cancel your subscription at any time through your account settings or by contacting our support team. Upon cancellation:

  • You retain full access to all paid features and remaining credits until the end of your current billing period
  • Your account will be moved to the Free plan once the billing period ends
  • No refund or prorated credit will be issued for the remaining time in your billing cycle

It is your responsibility to cancel before the next renewal date to avoid being charged for the following period.

4.3 Talk to Us First

We genuinely care about your experience. If something isn't working as expected or you're unhappy with the service, please reach out to us at support@gennai.io before taking any other action. We will respond within 48 business hours and do our best to find a solution. Depending on your situation, we may offer:

  • Technical support and troubleshooting to resolve your issue
  • A plan adjustment that better fits your needs
  • Complimentary service credits applied to your account
  • In exceptional circumstances (such as a platform error that prevented cancellation), a discretionary refund at our sole judgment

We're a small, approachable team and we'll always try to do right by you. Give us the chance to help before escalating through other channels.

4.4 Credit Pack Purchases

Credit pack purchases are one-time, non-recurring transactions and are non-refundable once purchased. Credits do not expire while your account is active.

4.5 Anti-Abuse Policy

We reserve the right to suspend or terminate accounts that engage in abusive behavior, including but not limited to:

  • Repeated cycles of subscribing, mass-processing invoices, and requesting refunds or chargebacks
  • Creating multiple accounts to circumvent usage limits or policies
  • Exploiting platform features in ways that violate the spirit of these Terms

4.6 Chargebacks and Payment Disputes

You agree to contact our support team at support@gennai.io before initiating a chargeback or payment dispute with your bank or credit card provider. Filing a chargeback without first attempting resolution through our support process may result in:

  • Immediate suspension of your account and access to the service
  • Contesting of the chargeback with evidence of service usage and delivery
  • Recovery of the disputed amount plus any associated fees

5. Acceptable Use

You agree not to use Gennai to:

  • Violate any applicable laws or regulations
  • Infringe upon the rights of others
  • Distribute malware or harmful content
  • Attempt to gain unauthorized access to our systems
  • Abuse, harass, or harm others
  • Use the service for any illegal or unauthorized purpose
  • Circumvent usage limits or abuse the service
  • Abuse refund or chargeback processes to obtain services without payment
  • Create multiple accounts to circumvent refund policies or usage limits

6. Google API Services

Our use of Google API Services complies with the Google API Services User Data Policy, including the Limited Use requirements. Specifically:

  • We only access Gmail data necessary to identify and extract invoices
  • We only access Google Drive to organize and store your invoices
  • We do not use Google user data for advertising purposes
  • We do not sell Google user data to third parties

7. WhatsApp Invoice Submission Service

Gennai offers a WhatsApp-based invoice submission feature that allows you to send invoices directly from your phone:

  • Registration: You must register and verify your WhatsApp phone number in your Gennai account before using this feature
  • Authorized Numbers: Only phone numbers you have registered can submit invoices to your organization
  • Supported Content: You may send PDF documents and images of invoices. Other content types may not be processed
  • Processing: Documents sent via WhatsApp are processed using the same AI extraction technology as email-based invoices
  • Confirmations: You will receive a WhatsApp message confirming successful processing or any errors

Our use of WhatsApp complies with the WhatsApp Business Policy. We do not use WhatsApp to send unsolicited marketing messages.

8. QuickBooks Online Integration

Gennai integrates with QuickBooks Online to allow you to export invoices as Bills to your QuickBooks company:

  • Connection: You connect your QuickBooks Online account via OAuth 2.0 authorization. You may disconnect at any time from your Gennai dashboard or from the QuickBooks App Store.
  • Data Access: We access your QuickBooks company information, vendor list, chart of accounts, and currency preferences solely to create Bills and Vendors corresponding to invoices you export from Gennai.
  • Data Scope: We do not access your customers, sales invoices, payments, banking data, or reports in QuickBooks. We only create new records (Bills, Vendors) and do not modify or delete existing data.
  • PDF Attachments: When exporting, we attach the original invoice PDF to the Bill record in QuickBooks for your reference.
  • Token Security: Your QuickBooks OAuth tokens are encrypted at rest and automatically refreshed to maintain the connection.

QuickBooks Online is a product of Intuit Inc. Your use of QuickBooks Online is subject to Intuit's own terms and conditions. Gennai is not affiliated with or endorsed by Intuit.

9. Data Usage for AI/ML Models

Gennai does not use any user data, including data obtained through Google Workspace APIs, to develop, improve, or train generalized AI and/or ML models. Your data is used solely for providing and improving the Gennai services as described in these Terms and our Privacy Policy.

10. Intellectual Property

Our Property: The Gennai platform, including its design, features, and technology, is owned by us and protected by intellectual property laws. You may not copy, modify, or distribute our platform without permission.

Your Data: You retain all rights to your invoices and data. By using our service, you grant us a limited license to process your data as necessary to provide the service.

11. Privacy

Your privacy is important to us. Please review our Privacy Policy to understand how we collect, use, and protect your personal information.

12. Service Availability

We strive to maintain high availability of our service, but we do not guarantee uninterrupted access. We may occasionally perform maintenance or updates that temporarily affect service availability. We will endeavor to provide advance notice of scheduled maintenance when possible.

13. Disclaimer of Warranties

Gennai is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that the service will be error-free, that AI extraction will be 100% accurate, or that the service will meet your specific requirements. You should verify extracted invoice data before relying on it for critical business decisions.

14. Limitation of Liability

To the maximum extent permitted by law, Gennai shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of our service. Our total liability shall not exceed the amount you paid for the service in the twelve months preceding the claim.

15. Indemnification

You agree to indemnify and hold harmless Gennai and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the service or violation of these Terms.

16. Termination

You may terminate your account at any time by cancelling your subscription and deleting your account through your settings. We may terminate or suspend your account if you violate these Terms or for any other reason at our discretion.

Upon termination, your right to use the service will cease immediately, and your data will be handled in accordance with our Privacy Policy.

17. Changes to Terms

We may update these Terms from time to time. If we make significant changes, we will notify registered users via email. Your continued use of the service after changes constitutes acceptance of the updated Terms.

18. Governing Law

These Terms are governed by and construed in accordance with the laws of the United Arab Emirates. Any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts located in Dubai, UAE.
